Terms of Service

1. Introduction

Welcome to noDeco.

These Terms of Service (“Terms”) govern your access to and use of the noDeco platform, website, and related services (the “Service”) operated by IRENA KRNJAJIC PR SENITZA, registered in Serbia (“noDeco”, “we”, “us”, or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of Service

noDeco provides a cloud-based business operations platform designed for dive centers, including but not limited to:

  • Booking management
  • Customer records
  • Instructor scheduling
  • Analytics
  • Payment integrations
  • Communication tools

noDeco is provided as a subscription-based Software-as-a-Service (SaaS) platform.

3. Eligibility

The Service is intended for business users only.

By using the Service, you confirm that:

  • You are acting on behalf of a business entity
  • You have authority to bind that entity
  • You are at least 18 years old

4. Accounts

You are responsible for:

  • Maintaining the confidentiality of login credentials
  • All activity under your account
  • Ensuring that your information is accurate and up to date

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions and Billing

noDeco operates on a subscription basis. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the selected plan). Failure to pay may result in suspension or termination of access to the Service.

6. Payments – Merchant of Record (Paddle)

All payments are processed by Paddle.com Market Limited (UK) or Paddle.com Inc. (USA), which acts as the Merchant of Record and authorised reseller of noDeco.

This means:

  • You purchase the subscription from Paddle
  • Paddle handles payment processing
  • Paddle collects applicable taxes
  • Paddle issues invoices and receipts
  • noDeco licenses the software to you

Your purchase is therefore subject to:

  • These Terms of Service (between you and noDeco)
  • Paddle’s Buyer Terms and Conditions (between you and Paddle)

For invoiced business purchases, Paddle’s Invoiced Business Terms and Conditions apply. By completing a transaction, you agree to both our Terms and Paddle’s terms.

7. Taxes

All applicable taxes (including VAT or sales tax) are handled and calculated by Paddle as Merchant of Record, according to your jurisdiction. Invoices are provided electronically.

8. License

Subject to payment of applicable fees and compliance with these Terms, noDeco grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for internal business purposes.

You may not:

  • Resell or sublicense the Service
  • Reverse engineer the software
  • Use the Service for unlawful purposes
  • Interfere with platform security

9. Intellectual Property

All rights, title, and interest in the Service, including software, design, branding, and content, remain the exclusive property of noDeco. Use of the Service does not grant ownership of any intellectual property.

10. Data and Responsibility

You are responsible for:

  • The accuracy of your data
  • Backing up critical business data
  • Compliance with applicable local laws regarding your operations

noDeco does not guarantee uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by law:

noDeco shall not be liable for indirect, incidental, consequential, or special damages, including loss of revenue, data, or business opportunities. Our total liability shall not exceed the amount paid by you in the preceding 12 months.

12. Suspension and Termination

We may suspend or terminate access if:

  • Fees are unpaid
  • You breach these Terms
  • Fraudulent or abusive behavior is detected

Termination does not relieve you of payment obligations already incurred.

13. Confidentiality

Both parties agree to maintain the confidentiality of non-public business information shared during the use of the Service.

14. Privacy

Your data is handled in accordance with our Privacy Policy, available at: https://my.nodeco.app/privacy-policy

15. Governing Law

These Terms are governed by the laws of the Republic of Serbia, unless otherwise required by mandatory law. Any disputes shall be resolved by the competent courts in Serbia.

16. Changes to Terms

We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
